• Tiered Membership levels that unlock even greater privileges as you progress.

By participating in the Codon Club Rewards Program, you agree to abide by the terms and conditions outlined in this document. These terms govern your membership, the earning and redemption of Molecular Miles, and access to tier-specific benefits. Please review them carefully.

AUGenomics™ reserves the right to amend, suspend, or terminate the Codon Club program or its terms and conditions at any time, at its sole discretion, with or without prior notice.

1. Introduction
​
1.1 Scope and Agreement: The following Terms and Conditions govern participation in the Codon Club Rewards Program (“Program”), offered by AUGenomics™. Participation in the Program is subject to compliance with these Terms, which outline the rights, responsibilities, and limitations of all enrolled Accounts and Members.
​
1.2 Acceptance of Terms: By enrolling in the Program, each Legal Entity and its designated Accounts acknowledge and agree to comply with these Terms and Conditions. AUGenomics™ reserves the right to modify or update these terms at any time in accordance with Section 9 (Member Conduct and Violations).
2. Definitions
​
For the purposes of this Program, the following definitions apply:
​
Legal Entity: A company, corporation, university, institution, or other legally recognized organization that operates in a country where AUGenomics™ distributes its products or services. A Legal Entity may register one or more Accounts under the Program, each associated with a specific department, laboratory, division, or unit.
​
Account: A distinct membership unit within the Codon Club Rewards Program that is linked to a specific department, division, laboratory, office, or functional unit of a Legal Entity. Each Account is eligible to earn and redeem Molecular Miles in accordance with the Program’s rules.
​
Member: An individual authorized by a Legal Entity to transact on behalf of a specific Account. Members may make purchases, earn Molecular Miles, and redeem rewards within the limits and permissions established by the Legal Entity or Account administrator. Each Account may have multiple Members.
​
Membership: Enrollment in the Codon Club Rewards Program, operated by AUGenomics™, which allows eligible Accounts to earn and redeem Molecular Miles in accordance with these Terms and Conditions.
​
Molecular Miles: The unit of measurement used within the Codon Club Rewards Program to track a Member’s accumulated rewards. Molecular Miles are earned based on eligible purchases and other qualifying activities as determined by AUGenomics™. They can be redeemed for various benefits, including discounts, merchandise, and other rewards, subject to the rules and conditions outlined in these Terms and Conditions. Molecular Miles have no cash value and are non-transferable between Legal Entities, Accounts, or Members unless explicitly permitted by AUGenomics™.

Rolling 365-Day Period: The continuously updating timeframe over which a Member’s Molecular Miles are evaluated for tier qualification. Only Molecular Miles earned within the immediately preceding 365 days from the current date will be considered.
3. Membership Enrollment & Eligibility

3.1 Eligibility Requirements
Membership in the Codon Club Rewards Program is open to natural persons who are employees, faculty members, staff, or authorized representatives ("Member") of a company, organization, university, or other legally recognized Legal Entity. Membership is only available to individuals who are at least 18 years old. If an individual is under 18 years old, they must obtain consent from their employer or institution before participating.

By enrolling in the Program, the User represents and warrants that they have obtained the necessary authorization from their employer or organization ("Legal Entity") to participate in the Program. The Legal Entity must consent to both:
(i) The creation of an Account under the Program; and
(ii) The accrual and redemption of Molecular Miles on behalf of the Account.
​
The Legal Entity remains ultimately responsible for ensuring compliance with its internal policies regarding employee participation in rewards programs.
​
By enrolling, Members affirm that they meet these eligibility requirements and agree to comply with all terms and conditions of the Codon Club program.
​
The following individuals and entities are not eligible to participate in the Program:
(i) Employees, officers, or representatives of AUGenomics™;
(ii) Companies or individuals engaged as distributors, resellers, or dealers of AUGenomics™ products and services, unless otherwise approved in writing by AUGenomics™;
(iii) Any person or entity prohibited by applicable laws, regulations, or contractual obligations from participating in rewards programs;
(iv) Any employees, faculty members, staff, or authorized representatives of a Legal Entity that does not provide consent to all Terms and Conditions of the Codon Club program.
(v) Individuals under the age of 13.

3.2 Enrollment Process
To join the Codon Club, eligible Members must complete the official registration form via the AUGenomics™ client portal currently hosted at https://www.augenomics.softr.app (URL subject to change), ensure all provided information is accurate and complete, and agree to these terms as set forth in these Terms and Conditions. Upon successful registration, Members will use AUGenomics™ Portal Account credentials to track Molecular Miles and tier status.
• Enrollment is entirely digital and must be completed online.
• Membership is free of charge.
• AUGenomics™ reserves the right to verify eligibility, including identity verification and compliance with applicable legal requirements for international members.
• Participation is subject to regional compliance regulations, including but not limited to GDPR for EU-based members.

3.3 Member Identification and Account Use
Each Member is assigned to one Codon Club Account, which is non-transferable. Account credentials along with program benefits including Molecular Miles and Rewards are associated exclusively with the designated Account and may not be shared, transferred, or assigned to another individual or entity, including other Members or Accounts within the same Legal Entity.
Each Legal Entity may have multiple Accounts, corresponding to separate divisions, departments, laboratories, or other units within the organization. Each Account:
(i) Is registered and maintained by one or more authorized Users;
(ii) Accumulates and redeems Molecular Miles independently from other Accounts under the same Legal Entity; and
(iii) Is subject to the Program’s rules on expiration, transferability, and redemption.
Members are responsible for ensuring their account information is accurate and up to date. Any discrepancies must be corrected promptly by contacting AUGenomics™ at info@augenomics.com. AUGenomics™ reserves the right to suspend or terminate Accounts with inaccurate or incomplete information.

3.4 Restrictions and Violations
Membership privileges may be restricted, suspended, or revoked if:
(i) A Member provides fraudulent, inaccurate, or false identification and/or demographic information during enrollment or at any time thereafter.
(ii) A Member engages in activities that violate these Terms and Conditions or any applicable laws. (Refer to Section 9: Member Conduct and Violations).
(iii) A Member engages in any conduct AUGenomics™ determines, in its sole discretion, to be fraudulent, abusive, or otherwise inconsistent with the purpose and/or terms of the Program.
4. Earning Molecular Miles
​
4.1 Earning Rates and Tier Thresholds
Accounts registered under the Program earn Molecular Miles based on the dollar amount spent on eligible purchases with AUGenomics™. The earning rates vary by Account tier, which is determined by the total Molecular Miles accumulated. For detailed tier descriptions and benefits, please refer to Section 5 (Tier System and Membership Benefits).

The earning rates and tier thresholds are as follows:
• Tier 1 (Alloy): Earn 1 Molecular Mile for every $100 spent. No threshold required to join.
• Tier 2 (Ag): Earn 1.3 Molecular Miles for every $100 spent. Accounts must accumulate 60 Molecular Miles to qualify.
• Tier 3 (Au): Earn 2 Molecular Miles for every $100 spent. Accounts must accumulate 700 Molecular Miles to qualify.

When calculating Molecular Miles earned from purchases, fractional miles will be rounded down to the nearest whole number.
​
4.2 Eligible Purchases
Molecular Miles can be earned on all qualifying purchases made through official AUGenomics™ channels, including the client portal and other authorized platforms, provided that payment has been successfully received and processed by AUGenomics™.
​
AUGenomics™ reserves the right to review and determine the eligibility of purchases and may withhold, adjust, or reverse Molecular Miles in cases of policy violations, dispute, suspected fraud or payment issues.
​
4.3 Bonus Miles and Special Events
• Welcome Bonus: Eligible Accounts will receive a one-time Welcome Bonus of Molecular Miles upon meeting the tier qualification threshold, as follows:
• Tier 1 (Alloy): 10 bonus miles upon joining the Program.
• Tier 2 (Ag): 25 bonus miles upon reaching Tier 2.
• Tier 3 (Au): 60 bonus miles upon reaching Tier 3.
​
• Conditions for Welcome Bonus: Bonus Miles are awarded once per Account upon initial qualification for each tier. If an Account is downgraded and later re-qualifies for a previously attained tier, it will not receive the Welcome Bonus again for the corresponding tier.
​
• Promotional Bonus Events: AUGenomics™ may, at its discretion, offer limited-time promotional bonus events in which additional Molecular Miles may be earned. Eligibility and participation requirements for each promotional event may be determined by AUGenomics™ and communicated through official Program channels.
​
4.4 Molecular Miles Expiration Policy
Molecular Miles earned through the Codon Club expire on a “Rolling 365-day Period” basis. This means that Molecular Miles not redeemed within 365 days from the date they were earned will expire and be removed from the Account.
• For example, if an account earns 50 Molecular Miles on January 15, 2024, those Molecular Miles will expire on January 15, 2025, if not redeemed.
​
4.5 Retroactive Credit for Purchases
Newly enrolled Accounts in the Codon Club may request retroactive credit for their one (1) most recent eligible purchase made immediately prior to enrollment, provided the purchase meets all eligibility requirements outlined in these terms and conditions.
• To request the retroactive credit, authorized Account representatives must contact AUGenomics™ at info@augenomics.com within 120 days of enrollment.
• The request must include proof of the eligible purchase, such as an invoice or receipt, for verification.
Retroactive credit will be applied to the member’s Account only after AUGenomics™ confirms the eligibility of the purchase and any associated payment has been successfully processed. Retroactive credit cannot be applied to purchases made by third parties or purchases that have already been credited to another Codon Club Account.

4.6 Account Credit Timeline
Molecular Miles earned from eligible purchases will be automatically credited to the Codon Club Rewards Program Account only after AUGenomics™ has successfully received and processed full payment for the eligible purchases. The timeline for crediting Molecular Miles may vary based on payment processing times and verification procedures.
​
4.7 Molecular Miles Adjustments and Monitoring
Members are responsible for regularly monitoring their Molecular Miles balance through the AUGenomics™ client portal. Any discrepancies must be reported to AUGenomics™ at info@augenomics.com within 90 days of the transaction date. Failure to report an issue within this timeframe may result in forfeiture of the right to dispute the balance.

AUGenomics™ reserves the right to adjust Molecular Miles balances at its sole discretion, including but not limited to the following cases:
• Refunds or partial cancellations: Molecular Miles earned from refunded or canceled transactions will be deducted from the Account accordingly.
• Errors: AUGenomics™ reserves the right to correct any errors in Molecular Miles crediting, whether caused by system malfunctions, human error, or fraudulent activity.
• Policy violations, fraudulent activities, or misuse of the Program, including attempts to manipulate earnings through refunds or unauthorized redemptions.
5. Tier System and Membership Benefits

5.1 Tier Overview
The Codon Club Rewards Program features three Membership tiers, each offering unique benefits based on the total number of Molecular Miles accumulated over a “Rolling 365-day Period”:
• Tier 1: Alloy (0–59 cumulative Molecular Miles)
• Tier 2: Ag (60–699 cumulative Molecular Miles)
• Tier 3: Au (700+ cumulative Molecular Miles)
Higher tiers may provide access to exclusive benefits not available to lower tiers. For details on tier-specific benefits, refer to Section 5.4 (Tier Benefits).

5.2 Tier Qualification
Once a member reaches the threshold for a new tier, their tier status will be automatically updated, provided AUGenomics™ has successfully received and processed payment for the eligible purchases.
​
Tier status changes—whether promotion or demotion—take effect immediately upon meeting the criteria.
​
5.3 Reevaluation of Tier Status
An Account’s tier status is continuously reevaluated based on the total Molecular Miles earned over the “Rolling 365-day Period”. Only the Molecular Miles earned in the most recent 365 days are considered for tier qualification. Any Molecular Miles older than 365 days will expire and no longer contribute to tier status.
​
• Example 1:
If an Account earned 40 Molecular Miles on January 18, 2024, 30 Molecular Miles on August 15, 2024, and 50 Molecular Miles on January 10, 2025, their tier qualification on February 1, 2025, would include the 30 Molecular Miles from August 15, 2024, and the 50 Molecular Miles from January 10, 2025 (a total of 80 miles). The 40 Molecular Miles earned on January 18, 2024 would no longer count toward their tier, as they fall outside the 365-day window and have expired.
​
With 80 Molecular Miles, the Member would qualify for Tier 2: Ag status.
​
• Example 2:
If a Member earned 300 Molecular Miles on March 1, 2024, and did not make any additional purchases until March 2, 2025, their tier qualification on March 2, 2025, would drop to 0 miles, as the 365-day window excludes Molecular Miles earned prior to March 2, 2024.
​
With 0 miles, the Member would qualify for Tier 1: Alloy status.
​
5.4 Tier Benefits
Each tier offers increasing levels of benefits, including enhanced Molecular Miles earning rates and exclusive privileges:
• Alloy (Tier 1): Entry-level Membership with access to standard Program benefits.
• Ag (Tier 2): Includes all benefits of Tier 1, plus additional exclusive benefits unavailable to Tier 1 Members.
• Au (Tier 3): Includes all benefits of Tier 1 and 2, plus premium benefits reserved for top-tier members, with the highest earning rate and exclusive privileges.

Specific details of tier benefits may vary and are subject to change at AUGenomics™’ discretion. Visit the Rewards page in the AUGenomics™ client portal to see the most up-to-date benefits.
​
5.5 Restrictions and Conditions
Only the portion of a purchase for which AUGenomics™ has successfully received and processed payment will contribute to Molecular Miles or tier qualification. Refunded, disputed, or canceled transactions, or unpaid portions of an invoice will not count towards earning Molecular Miles or determining tier status.
6. Rewards

6.1 Overview of Rewards
The Codon Club Rewards Program provides eligible Members with the opportunity to earn and redeem Molecular Miles for various rewards, subject to the terms and conditions set forth herein. Available rewards may include, but are not limited to:
• Purchase discounts on eligible AUGenomics™ products and services;
• Exclusive AUGenomics™ merchandise made available for redemption;
• Opportunities for charitable donations facilitated through the Program.

All rewards are subject to availability, non-transferable, and may be modified or discontinued at any time at AUGenomics™’ sole discretion. AUGenomics™ reserves the right to introduce additional rewards, alter reward structures, or impose limitations on redemption at any time without prior notice.

6.2 Redemption Rules and Processes
Members can redeem Molecular Miles for rewards through the AUGenomics™ client portal, subject to the following process and conditions:

Redemption Process
(i) Access the Rewards Catalog:
The Member logs into their Codon Club account via the AUGenomics™ client portal. The Member navigates to the “Available Rewards” section to view all available rewards.
(ii) Select Reward:
The Member chooses their desired reward from the catalog. The number of Molecular Miles required for redemption is displayed alongside each reward.
(iii) Confirm Redemption:
The Member follows the on-screen prompts to confirm redemption of the reward. Once confirmed, the corresponding Molecular Miles are deducted from the Member’s designated Account, and the reward is issued.
(iv) Receive Reward:
• For discount codes: The code will be emailed to the Member’s registered email address upon successful redemption.
• For physical merchandise or other rewards: Members will receive a confirmation notification with details on fulfillment, including estimated shipping times (if applicable).
​
6.3 Conditions and Restrictions
The following conditions apply to all rewards, including discount codes and merchandise redemptions:
• All redemptions are final. Once Molecular Miles are redeemed, they cannot be refunded, canceled, exchanged, or reinstated for any reason.
• Discount codes generated through redemption are single-use only and cannot be shared, transferred, resold, or combined with other offers, including any other AUGenomics™ program benefits. A maximum of one (1) discount per order is permitted. A discount code issued to one Account cannot be used by another Account or third party.
• Members are solely responsible for ensuring the accuracy of their Account and redemption details, including email and shipping information. AUGenomics™ is not liable for undelivered rewards due to incorrect Member information.
• Discount codes expire 365 days after redemption. Expired codes will not be reinstated or extended under any circumstances.
• AUGenomics™ reserves the right to add, modify, discontinue, suspend, or replace any reward, redemption criteria, or associated terms at its sole discretion, with or without prior notice. Members may check the AUGenomics™ client portal for the most up-to-date rewards and eligibility requirements.
• If a redeemed reward becomes unavailable after redemption but before fulfillment, AUGenomics™ may, at its sole discretion: (i) provide an alternative reward of equal or greater value, (ii) recredit the Molecular Miles used for the redemption, or (iii) issue a discount code of equivalent value. Members shall not be entitled to monetary refunds for any redeemed rewards.
​
6.4 Fraud and Misuse of Discounts
AUGenomics™ strictly prohibits fraudulent activity or misuse of rewards, including but not limited to:
(i) Using another Account’s credentials to claim any Program discounts without proper verification.
(ii) Sharing, selling, or transferring discount codes between Accounts or third parties.
(iii) Attempting to redeem rewards through unauthorized means, including multiple Account registrations to gain additional benefits.

If AUGenomics™ determines, in its sole discretion, that a Member has engaged in fraudulent activity, abuse, or misuse of rewards, AUGenomics™ may take one or more of the following actions:
(i) Immediate revocation of the fraudulent discount code(s) or Molecular Miles.
(ii) Termination of Codon Club Rewards Program Membership, with forfeiture of any accumulated Molecular Miles.
(iii) Legal action if fraudulent activity results in financial loss or reputational damage to AUGenomics™.
​
AUGenomics™ retains sole discretion to determine whether a violation has occurred and to impose appropriate penalties. For further details, refer to Section 9 (Member Conduct and Violations).​
7. Membership Termination and Modifications
​
7.1 Termination by Member
A Member may terminate their Codon Club Rewards Program Membership at any time by submitting a written request to info@augenomics.com.
​
Upon termination, the Member will immediately forfeit all accrued Molecular Miles and any unused rewards. Membership cannot be reinstated once terminated, and forfeited Molecular Miles or rewards will not be restored under any circumstances. A terminated Member may apply for a new Membership Account, subject to AUGenomics™’ approval and compliance with all applicable eligibility requirements. AUGenomics™ reserves the right to deny re-enrollment at its sole discretion.

7.2 Termination by AUGenomics™
AUGenomics™ reserves the right to suspend or terminate a Member’s Codon Club Rewards Program Membership at its sole discretion for any reason, including but not limited to:
• Violation of these Terms and Conditions or any other applicable policies governing the Program.
• Fraudulent activity, abuse, or misuse of Molecular Miles, rewards, or discount codes.
• Failure to comply with AUGenomics™ policies or applicable laws and regulations.

Upon termination, all Molecular Miles and unused rewards will be voided immediately, and no appeals, reinstatements, or reimbursements will be permitted for terminated Accounts. AUGenomics™ reserves the right to take further action, including legal remedies, in cases of fraud or misconduct.
​
7.3 Changes to Membership Terms
AUGenomics™ reserves the right to add, modify, suspend, or terminate the Codon Club Reward Program or any Program feature, including earning rates, tier thresholds, rewards, reward structures, eligibility criteria, and these Terms and Conditions, at its sole discretion. Continued participation in the Program after any modifications constitutes acceptance of the updated Terms and Conditions. AUGenomics™ is not liable for any loss of benefits resulting from modification, suspension, or termination of the Program.

7.4 Membership Inactivity
Accounts that remain inactive for a consecutive 24-month period (i.e., no earning or redemption activity) may be subject to termination at AUGenomics™’ sole discretion.
​
Members will receive a notification via email of pending inactivity termination and will have 30 days from the date of notification to reactivate their account by earning or redeeming Molecular Miles. If no action is taken within the 30-day period, the account will be permanently terminated, and all Molecular Miles and rewards will be forfeited.
​
7.5 Program Termination
AUGenomics™ reserves the right to suspend or terminate the Codon Club Rewards Program at any time, with or without cause. In the event of Program termination:
• Any unused Molecular Miles remaining in a Member’s account after the termination date will be forfeited and cannot be refunded, transferred, or converted into cash or other compensation.
• AUGenomics™ shall not be held liable for any loss, inconvenience, or damages resulting from the termination of the Program.
AUGenomics™ reserves the right to determine the methods and timing of Program closure, including the redemption process for final rewards.
8. Data Privacy and Communication

8.1 Consent to Communication
By enrolling in the Codon Club Rewards Program, Members consent to receiving communications related to their Membership. These communications include, but are not limited to:
• Transactional emails (e.g., Account updates, Molecular Miles balance notifications, redemption confirmations).
• Program-related announcements (e.g., changes to Program terms, policy updates).
• Marketing and promotional emails regarding Codon Club benefits, exclusive offers, and AUGenomics™ services.

8.2 Opt-Out Options
Members may opt out of receiving promotional communications at any time by contacting info@augenomics.com with an unsubscribe request.
​
Opting out of promotional emails does not affect essential communications, including:
• Transaction-related emails necessary for Account management.
• Legal or compliance notifications as required by law.
​
AUGenomics™ will process opt-out requests within a reasonable timeframe in accordance with GDPR and CAN-SPAM Act guidelines.
​
8.3 Data Privacy and Use
AUGenomics™ values your privacy. BY ENROLLING IN THE CODON CLUB REWARDS PROGRAM, YOU AGREE TO BE BOUND BY AUGENOMICS™’ PRIVACY POLICY (available at https://www.augenomics.com/policies) AND TERMS OF USE.

As outlined in our Privacy Policy, we collect, use, and retain personal information to, among other purposes:
• Detect security incidents and unauthorized account access.
• Protect against malicious, deceptive, fraudulent, or illegal activity, including any attempts to manipulate Molecular Miles, rewards, or program benefits.
• Ensure compliance with applicable legal and regulatory requirements.

9. Member Conduct and Violations
​
9.1 Expected Member Conduct
Members of the Codon Club Rewards Program are required to uphold the integrity, fairness, and intended purpose of the Program by adhering to these Terms and Conditions. This includes, but is not limited to:
• Providing accurate, truthful, and up-to-date information during enrollment and throughout their participation in the Program.
• Engaging with the Codon Club Rewards Program in good faith, including earning and redeeming Molecular Miles in compliance with these Terms and Conditions.
• Respecting AUGenomics™, its employees, and other program participants by refraining from any behavior that is fraudulent, abusive, disruptive, or harmful to the Program’s operation.

9.2 Prohibited Activities and Violations
The following activities, including but not limited to, are considered violations of the Codon Club Rewards Program Terms and Conditions:
(i) Fraudulent Enrollment or Misrepresentation:
• Providing false, incomplete, or misleading information during the enrollment process.
• Using a false identity, fabricated documents, or impersonating another individual or entity to create an account.
(ii) Misuse of Discount Codes:
• Using another Member’s credentials without authorization to claim discounts or rewards.
• Attempting to combine discounts, including with any other benefits or promotions in violation of the terms outlined in Section 6 (Rewards).
(iii) Multiple Account Creation or Use:
• Creating or maintaining more than one Codon Club Account per individual, unless explicitly authorized by AUGenomics™.
• Using multiple Accounts to manipulate Molecular Miles earning rates, tier statuses, or reward redemptions, in a manner inconsistent with the Program’s intended purpose.
(iv) Unauthorized Sharing or Transfer of Benefits:
• Sharing, selling, or transferring discount codes, Molecular Miles, or Membership details to other Members or third parties.
• Redeeming rewards or discounts on behalf of another Member without explicit authorization.
(v) Manipulation of Program Mechanisms:
• Exploiting, circumventing, or attempting to manipulate Program rules, earning structures, or redemption mechanisms, regardless of whether such attempts are successful.
• Using automated systems, bots, or unauthorized software to interfere with any portion of the Program in any way.
(vi) Abuse of Refund or Cancellation Policies:
• Attempting to retain Molecular Miles or rewards for purchases that have been refunded or canceled.

9.3 Penalties for Violations
AUGenomics™ reserves the right to impose penalties for any violation of these Terms and Conditions. Penalties may include, but are not limited to:
• Suspension or permanent termination of Codon Club Rewards Program Membership.
• Forfeiture of all accrued Molecular Miles.
• Voiding of any rewards, discounts, or benefits.
• Demotion to a lower tier, restriction from tier advancement, or loss of tier status.
• Legal action or other remedies as deemed necessary by AUGenomics™.

9.4 Appeal and Reinstatement
Members whose Membership has been suspended or terminated may submit a written appeal for review within 30 days of receiving notification of the penalty. Appeals should be sent to info@augenomics.com and must include a detailed explanation of the circumstances, along with any supporting evidence or documentation relevant to the appeal.
• Appeals will be reviewed on a case-by-case basis.
• AUGenomics™ retains sole discretion to uphold, modify, or overturn any penalty decision.
• Appeals submitted after the 30-day period will not be considered.

9.5 Retroactive Review of Violations
AUGenomics™ reserves the right to conduct retroactive reviews of Member activity at its discretion. If violations are identified during any Membership period, penalties as outlined in Section 9.3 (Penalties for Violations) may be applied retroactively.

9.6 Zero-Tolerance Policy
AUGenomics™ maintains a zero-tolerance policy for severe violations of these Terms and Conditions. Activities that are fraudulent, abusive, harmful to the Program’s integrity, or are in violation of applicable laws will result in immediate termination of Membership without notice as described in Section 7.2 (Termination by AUGenomics™).

AUGenomics™ reserves the right to determine the severity of violations and enforce penalties without prior notice. In cases where termination occurs without prior notice, AUGenomics™ may provide a termination notice after enforcement, if deemed necessary.
10. Disclaimers and Limitation of Liability

10.1 General Disclaimers
Membership and participation in the Codon Club Rewards Program are provided “as is” without any express or implied warranties, representation, or guarantees of any kind. To the fullest extent permitted by law, AUGenomics™ disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights. Participation in the Codon Club Rewards Program is at the sole risk of the Member. AUGenomics™ makes no representations or guarantees regarding: (i) the availability, accuracy, or uninterrupted operation of the Program; (ii) the continued availability of rewards, earning structures, or tier benefits; or (iii) the security of Member accounts beyond AUGenomics™’ commercially reasonable efforts.

10.2 Program Changes and Interruptions
AUGenomics™ shall not be held responsible for delays, interruptions, or errors in Program operations caused by factors beyond its reasonable control, including but not limited to:
• A force majeure event (e.g., natural disasters, earthquakes, floods, or fires).
• Acts of government or regulatory agencies, including new laws, regulations, or enforcement actions affecting the Program.
• Technical malfunctions (e.g., software failures, network outages, data corruption, or cybersecurity breaches).
• Labor strikes, workforce disruptions, or supply chain failures.
• Public health emergencies, including pandemics or government-imposed restrictions.
• Any other force majeure events or circumstances outside AUGenomics™’ reasonable control.

10.3 Limitation of Liability
AUGenomics™’ total liability for any claims related to the Codon Club Rewards Program is strictly limited to the value of the Molecular Miles or rewards in question, as determined by AUGenomics™ at its sole discretion. To the maximum extent permitted by law, AUGenomics™ shall not be held liable, under any circumstances, for any:
• Indirect, incidental, or consequential damages.
• Loss of data, revenue, profits, or business opportunities, real or potential.
• Any damages exceeding the monetary equivalent of the disputed Molecular Miles or rewards.

10.4 Member Responsibility
Members are solely responsible for maintaining the confidentiality and security of their Codon Club Accounts, including their login credentials and account activity. Any misuse or unauthorized access using a Member’s login credentials is the sole responsibility of the Member. Members must promptly notify AUGenomics™ via email to info@AUGenomics.com of any suspected fraudulent activity, unauthorized access, or security breaches related to their Account. Members are also responsible for ensuring compliance with these Terms and Conditions and for regularly reviewing program updates or changes.

AUGenomics™ is not liable for unauthorized access caused by Member negligence (e.g., weak passwords, sharing credentials). However, if unauthorized access results from a security breach of AUGenomics™’ systems, AUGenomics™ will notify affected Members and take commercially reasonable corrective actions.​
11. California Notice of Financial Incentive

AUGenomics™ offers the Codon Club Rewards Program, which provides Members with exclusive offers, rewards, discounts, and promotional benefits. As part of administering the Program, AUGenomics™ collects, processes, shares, and retains personal information of participating Members. Under the California Consumer Privacy Act (“CCPA”), this Program may be considered a financial incentive because Members provide personal information in exchange for Rewards and Offers.

12. Governing Law and Dispute Resolution

12.1 Governing Law
The interpretation, implementation, and dispute resolution of these Terms and Conditions shall be governed by, and enforced in accordance with, the laws of the State of California, United States, without regard to its conflict of law principles, regardless of the legal theory upon which such matter is asserted. For disputes not subject to arbitration, Members agree to the exclusive jurisdiction of the state or federal courts located in San Diego, California. Members outside the United States waive any right to assert jurisdiction in their local courts and agree to be bound by California law for all matters relating to this Program. Some or all parts of the Codon Club Rewards Program may not be legal in certain countries, and shall be void where prohibited by law.

12.2 Dispute Resolution
Any dispute, claim, or controversy arising from or related to the Codon Club Rewards Program, including the interpretation, breach, termination, or validity of these Terms and Conditions, shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.
The arbitration proceedings shall be conducted in San Diego, California, unless both parties agree to an alternative venue or virtual arbitration. The decision rendered by the arbitrator shall be final, binding, and enforceable in any court of competent jurisdiction. Notwithstanding the above arbitration requirement, Members may bring individual claims in small claims court, provided the claim qualifies under applicable small claims court jurisdictional limits.

12.3 Waiver of Class and Representative Actions
By enrolling in the Codon Club Rewards Program, Members expressly waive the right to participate in or initiate class actions, consolidated claims, or any representative legal proceedings against AUGenomics™. All disputes shall be resolved on an individual basis, and Members agree to pursue claims solely in their individual capacity.

12.4 Allocation of Legal Fees and Costs
In the event of arbitration or other dispute resolution proceedings between AUGenomics™ and a Codon Club Rewards Program Member, the prevailing party shall be entitled to recover reasonable attorneys’ fees and other costs associated with the dispute, in addition to any other remedies awarded.​

12.5 Exceptions to Arbitration
Notwithstanding the arbitration requirement outlined in Section 12.2 (Dispute Resolution), AUGenomics™ reserves the right to seek equitable relief, including but not limited to injunctive relief, in a court of competent jurisdiction. Such relief may be pursued in circumstances involving the unauthorized use or infringement of intellectual property, breach of confidentiality obligations, or any other violations that may result in irreparable harm to AUGenomics™.
13. Miscellaneous Provisions

13.1 Severability
If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be replaced with a valid, enforceable provision that most closely reflects the original intent underlying the invalid provision, to the extent permitted by law.

13.2 No Waiver
The failure of AUGenomics™ to enforce any provision of these Terms and Conditions shall not constitute a waiver of that provision or any other provisions, nor shall it prevent AUGenomics™ from enforcing such provisions at a later date. Any waiver of rights or remedies under these Terms and Conditions must be explicitly provided in writing by AUGenomics™ and signed by an authorized representative of AUGenomics™.

13.3 Entire Agreement
These Terms and Conditions, along with any referenced policies or documents, constitute the entire agreement between AUGenomics™ and Codon Club Rewards Program Members concerning Membership, rewards, and Program participation. This agreement supersedes any prior agreements, communications, or representations relating to the subject matter herein.

13.4 Assignment
Codon Club Rewards Program Membership and any associated benefits may not be assigned, sold, transferred, or sublicensed by Members. AUGenomics™ reserves the right to assign or transfer its rights and obligations under these Terms and Conditions without restriction.
